Terms of Service

Last updated: October 24, 2026

1. Agreement to these Terms

These Terms of Service (the "Terms") are a binding agreement between Closad LLC, a Georgia limited liability company ("Closad," "we," "us" or "our"), and the business or organization that creates an account or uses our services ("Customer," "you" or "your").

By creating an account, starting a trial, clicking to accept these Terms or using the Service, you agree to these Terms. If you accept on behalf of a company or other organization, you confirm that you have authority to bind it, and "you" refers to that organization.

Business use only. The Service is offered only for business and professional purposes. It is not intended for personal, family or household use. You must be at least 18 years old to create an account or use the Service.

If you do not agree to these Terms, do not use the Service. Our Privacy Policy explains how we handle personal information and forms part of these Terms.

2. The Service and your account

The Service. Closad is a subscription software platform that monitors publicly available advertising across channels such as Meta, Instagram, YouTube, Google Search and Google Display. It organizes that advertising data and provides dashboards, alerts, reports and AI-generated insights (together, the "Service"). The Service includes closad.com, app.closad.com and any related features, integrations and support.

Accounts and workspaces. To use the Service you create an account. An account can hold one or more workspaces, each with its own tracked brands and settings. You are responsible for all activity under your account.

Team members. Depending on your plan, you can invite team members ("Authorized Users") and assign them roles such as admin, editor or viewer. You are responsible for your Authorized Users' compliance with these Terms. Each login is for one named person and may not be shared.

Account security. Keep your login credentials confidential. Tell us right away at support@closad.com if you believe your account has been accessed without permission.

Accurate information. You agree to give us accurate account and billing information and to keep it up to date.

Changes to the Service. We improve the Service over time and may add, change or remove features. If we remove a core feature of your paid plan, we will give you reasonable notice.

3. Plans, trials, billing and cancellation

Plans. The Service is offered on the plans described on our pricing page, billed monthly or annually. Enterprise plans may be governed by a separate order form or invoice. If an order form conflicts with these Terms, the order form controls for that order.

Free trial. New customers may be offered a 7-day free trial. A valid payment method is required to start the trial. Unless you cancel before the trial ends, your subscription starts automatically and your payment method is charged for the plan you selected. Each customer may use one free trial. We may decline a trial if we see that the same person, business, email or payment method has used one before.

Add-ons. Add-ons such as extra brand slots, extra seats and alert packs are charged when you buy them, including during a trial. Alert packs apply to the current billing period only and do not roll over.

Automatic renewal. Subscriptions renew automatically at the end of each billing period for the same length of time, at the then-current price, until cancelled.

Payment. Payments are processed by Stripe. You authorize us and Stripe to charge your payment method for all fees when due. Fees are in US dollars and exclude taxes. You are responsible for any sales, use, VAT or similar taxes, other than taxes on our income.

Failed payments. If a renewal payment fails, we will retry it for a limited period, and your account stays active during that time. If payment still has not succeeded, we may cancel your subscription. If the first payment at the end of a trial fails, access to the Service is paused until payment succeeds.

Billing-period limits. Brands, seats and other plan resources you add in a billing period count toward that period. You may not be able to remove them until the next billing period begins.

Cancellation. You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you keep access until then. After that, your plan ends and the Service stops collecting and processing data for your account.

No refunds. Except where required by law, all fees are non-refundable, including for partial billing periods, unused features, unused alerts and downgrades. The free trial is your opportunity to evaluate the Service before you are charged.

Committed terms. Annual plans, and any committed term in an order form, are a commitment for the full term. Fees for the full term are owed as stated at purchase, and cancelling does not reduce them. If we terminate your account for your breach, or you stop paying fees owed for a committed term, all unpaid fees for the rest of that term become immediately due.

Chargebacks. Please contact us at support@closad.com before disputing a charge with your bank or card issuer. If you file a chargeback for fees that are owed under these Terms, we may suspend your account while the dispute is open, and you remain responsible for the disputed amount and any related fees.

Price changes. We may change our prices. Changes apply from your next renewal, and we will notify you at least 30 days before a price increase takes effect.

4. Acceptable use

You may use the Service only for lawful business purposes and in line with these Terms. You and your Authorized Users agree not to:

  1. Share login credentials, or give access to anyone other than your Authorized Users.
  2. Resell, sublicense, rent or redistribute the Service, or any data or insights from it, as a standalone data product or a competing service. Sharing reports and insights with your own clients as part of your services is allowed (see Section 5).
  3. Scrape, crawl, bulk-export or use automated tools to copy data from the Service, except through features we provide for that purpose.
  4. Use the Service to build or train a competing product, or to benchmark it for a competitor.
  5. Reverse engineer, decompile or try to access the Service's source code, except where the law expressly allows it.
  6. Probe, scan or test the Service's security, or bypass any access control, usage limit or plan restriction.
  7. Interfere with the Service, for example by overloading it, introducing malware or disrupting other customers.
  8. Use the Service or its data to harass, defame, threaten or stalk any person or business, or to infringe anyone's intellectual property or other rights.
  9. Use the Service to make decisions about individuals' eligibility for employment, credit, housing or insurance.
  10. Use the Service in violation of any applicable law, including export control and sanctions laws.

Your responsibilities. You represent and warrant that:

  1. Your use of the Service, and of any ad creatives, brand names, logos or other third-party content you view or export from it, complies with applicable law, including copyright, trademark, privacy and right-of-publicity laws, and with any third-party platform terms that apply to you.
  2. You will not republish ad creatives from the Service as your own, or use them in your own advertising or materials, without permission from the rights holder.
  3. You have all rights and permissions needed to provide your Customer Data and to connect any integration.

We may investigate suspected violations and may suspend or restrict access as described in Section 9.

5. Data, reports and AI-generated insights

Your data. "Customer Data" means information you or your Authorized Users submit to the Service, such as the brands you track, workspace settings, team member details, uploaded logos and integration settings. You own your Customer Data. You give us a limited right to host, process and display it only to provide, secure and improve the Service. Our Privacy Policy and, where it applies, our Data Processing Agreement describe how we handle personal information in Customer Data.

Public advertising data. The Service collects and analyzes advertising that advertisers have made publicly available, using third-party data sources. We do not control that advertising or those sources. Advertising data may be incomplete, delayed or inaccurate, and ads may change or be removed by advertisers or platforms. Ad creatives, brand names, logos and trademarks shown in the Service belong to their respective owners and are shown for analysis and reference. Closad is not affiliated with or endorsed by Meta, Google, YouTube or any advertiser shown in the Service.

AI-generated insights. Parts of the Service use artificial intelligence to classify ads and generate summaries, signals and recommendations ("Insights"). Insights are generated automatically and may be inaccurate or incomplete. They are provided for information only and are not financial, legal or professional advice. You are responsible for reviewing Insights and for decisions you make based on them, including advertising spend.

Assumption of risk. You decide whether and how to act on data and Insights from the Service. You assume all risk for the advertising, budget, media buying and other business decisions you make using the Service, and Closad is not responsible for their results, including any advertising spend.

Your use of reports. You may use reports, exports and Insights from the Service for your internal business purposes. If you are an agency or consultant, you may also share them with your own clients as part of your services, including with your own branding where your plan allows it. You may not resell them as a standalone data product.

Data retention. Advertising data in the Service is kept for a limited rolling period, currently about 35 days of historical creatives, and older ads are removed. After your subscription ends, we may delete your Customer Data after a reasonable period, as described in our Privacy Policy.

Usage data and Closad Data. We collect information about how the Service is used, such as feature usage and performance data, to operate, secure and improve the Service. Closad owns all data, analyses and materials it creates or derives in operating the Service, including usage and performance data, aggregated and de-identified statistics, ad classifications and metadata, and any models, algorithms, processes or improvements developed from them ("Closad Data"). Closad Data does not include your Customer Data. We will not disclose Closad Data in a form that identifies you or any individual.

Feedback. If you send us ideas or suggestions, we may use them without any obligation to you.

6. Intellectual property

Closad and its licensors own the Service, including its software, design, features, classifications, analyses and the Closad name and logo. These Terms do not transfer any ownership to you. Subject to these Terms and payment of fees, we grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription for your business purposes. All rights not expressly granted are reserved.

7. Third-party services and integrations

The Service works with third-party services, such as Stripe for payments and Slack for alert delivery. When you connect an integration, you allow us to send the related data to that service. Your use of a third-party service is governed by its own terms, and we are not responsible for it. We may also link to third-party websites, including the original source of an ad, which we do not control.

Upstream advertising platforms and data providers. The Service depends on third-party APIs, data providers and the public availability of advertising libraries operated by platforms including Meta, Google and YouTube. Closad does not control these platforms or providers. If any of them restricts, limits, changes or discontinues access to advertising data, Closad may modify or discontinue affected features without liability. Such changes are not a breach of these Terms, and your sole and exclusive remedy is to cancel your subscription as described in Section 3.

8. Disclaimers, limitation of liability and indemnification

Disclaimer. THE SERVICE, ADVERTISING DATA AND INSIGHTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, CLOSAD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY DATA OR INSIGHTS WILL BE ACCURATE, COMPLETE OR CURRENT.

Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY LAW, CLOSAD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, OR ADVERTISING SPEND, EVEN IF ADVISED OF THEIR POSSIBILITY. CLOSAD'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO CLOSAD IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Indemnification. You will defend, indemnify and hold harmless Closad and its members, managers, officers, employees and agents from and against all third-party claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising from or related to: (a) your Customer Data; (b) your use of the Service, its data or Insights, including your advertising decisions; (c) your breach of these Terms or applicable law; or (d) any claim that your use of third-party content obtained through the Service infringes or violates another party's rights.

Indemnification procedure. Closad will notify you of any claim covered by this section; a delay relieves you of your obligations only to the extent it prejudices you. You will control the defense with counsel reasonably acceptable to Closad, and Closad may take part with its own counsel at its own expense. If you do not defend the claim diligently, Closad may take control of the defense at your expense. You may not settle any claim in a way that admits fault by Closad, places any obligation on Closad or does not fully release Closad, without Closad's prior written consent.

9. Suspension and termination

We may suspend or restrict your access if you breach these Terms, fail to pay, create a security risk or use the Service unlawfully. Where reasonable, we will notify you first and give you a chance to fix the issue. We may terminate your account for a serious or repeated breach. You may stop using the Service and cancel at any time as described in Section 3. Sections that by their nature should survive termination will survive, including payment obligations, ownership, disclaimers, limitation of liability, indemnification and governing law.

10. Governing law and disputes

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Service will be brought exclusively in the state courts located in DeKalb County, Georgia, or the United States District Court for the Northern District of Georgia (Atlanta Division), and both parties consent to their personal jurisdiction and venue. Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other for at least 30 days.

Class action waiver. To the extent permitted by law, each party may bring claims against the other only in its individual capacity, and not as a plaintiff or class member in any class, collective or representative proceeding.

Jury trial waiver. TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ITS RIGHT TO A JURY TRIAL IN ANY DISPUTE ARISING FROM THESE TERMS OR THE SERVICE.

11. Changes to these Terms

We may update these Terms from time to time. If we make a material change, we will notify you by email or in the Service at least 30 days before it takes effect, unless the change is required by law. Continuing to use the Service after the change takes effect means you accept the updated Terms.

12. General

These Terms, together with the Privacy Policy and any order form, are the entire agreement between you and Closad about the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign or transfer these Terms without our written consent, and any attempted assignment without it is void; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. We may send you notices by email to your account address or in the Service.
